Standard Terms and
Conditions
General
All orders are accepted subject to the following Terms and
Conditions; where any variations, amendments or additions have been
agreed to the said Terms and Conditions they will be shown in the
special schedule issued to a named company or individual. All Terms are
subject to English Law.
Title
The title to all goods remains with NanoControls until full payment
has been made. Risk for the goods shall pass to the Buyer on delivery.
VAT
All prices quoted are exclusive of VAT which shall be charged at the
appropriate rate where applicable.
Price
NanoControls reserves the right to vary the price estimate in the
event of a variation of the agreed specification agreed with the Buyer
and where additional work has been requested or in the event of
unforeseen increase in the cost of materials required for the completion
of the order. In the event of such a price variation NanoControls will
give prior written notice of such variation to the Buyer.
Guarantee
All goods are guaranteed for a period of 90 days from date of
delivery and goods found to be faulty during the guarantee period will
be repaired or replaced provided they have been properly used. For the
purposes of this Contract goods are interpreted as including all
hardware, software and all firmware as supplied by NanoControls. Any
repair maintenance required outside the guarantee period shall be
subject to further negotiation and are outside the terms of this
Contract.
Limitations
NanoControls can accept no responsibility for faults, inaccuracies,
errors or mistakes relating to the supply of goods where the agreed
written specification was incorrect or as a result of inadequate
information supplied to NanoControls or where information was omitted.
NanoControls shall not be liable in any way whatsoever for any
consequential loss, damage or injury however caused.
Software
All intellectual property rights in respect of software and firmware
supplied by NanoControls remain the property of NanoControls and may not
be copied, altered, modified, transferred, re-supplied, re-sold or
reproduced in any form in part or in whole without the prior written
authorisation of NanoControls.
Hardware
Insofar as all external housing and components and internal
components and circuitry are of previously unknown design or known
design employed in a previously unknown manner then NanoControls reserve
the right in relation to such a design notwithstanding any patent or
design protection application.
Force Majeure
NanoControls shall not be liable for any loss, damage or expense
incurred by the customer where the performance of any Contract is
prevented inhibited or restricted for any reason beyond the reasonable
control of NanoControls.
Delivery
Although NanoControls makes every effort to adhere to delivery
estimates no liability can be accepted where such delivery has been
delayed as a result of changes to any part of the specification,
additional requirements or unforeseen problems in developing the product
or any other reason outside the control of NanoControls.
Terms
Payment will be due upon delivery except where a credit account has
been agreed beforehand, when final payment will be due on the 20th day
of the month following invoice. In the event that the Buyer fails to
make any agreed payment NanoControls reserves the right to terminate the
Contract forthwith and to cease supplying the Buyer or carrying out any
maintenance work or providing support for software or continuing in any
way with any other of its obligations until such time as the payments
are brought up-to-date. |
